Terms of Service for Private Coaching & Mentorship
Please read the terms of service before purchasing and committing to private coaching and mentorship with Gillian Shields.
Summary of Terms:
All information, in any form, shared by Gillian Shields during private coaching and mentorship is intellectual property. All intellectual property rights are reserved. All information shared is for your own, non-commercial, personal use only. You must not otherwise copy, reproduce, distribute, or sell any content shared with you.
No refunds or exchanges.
You agree to pay the amount as per the payment schedule indicated on your invoice.
Rescheduling of scheduled live online calls are permitted once. 24 hours notice is required if rescheduling is needed. No shows are considered 15 minutes post scheduled call time.
Gillian Shields is not a member of a regulated health profession. Coaching and mentorship services are not therapy, counselling, mental health treatment, medical treatment or any other treatment provided by a professional. You are solely responsible for your own results and results vary by individual. Implementing coaching and mentorship into your life is at your sole discretion.
*Virtually Unlimited Support packages: You may reach out to Gillian Shields at any time outside of scheduled live online calls via the Voxer app. Gillian Shields will respond within her ‘office hours’, which are Monday-Friday 9-5pm EST. Gillian Shields will respond within 24 hours of the time your message has been left in Voxer during the days of her office hours (Monday-Friday).
You agree to be respectful, honest, and be fully engaged and committed inside private coaching and mentorship.
Terms:
These terms and conditions outline the rules and regulations for the purchase of private coaching services “Coaching Services” and related written, audio, or video content, from Gillian Shields.
Gillian Shields is located: P.O. Box 17032 Yonge King, Toronto Canada, M5E 1Y2.
By purchasing from Gillian Shields, you accept these terms and conditions in full. Do not purchase from Gillian Shields if you do not accept all of the terms and conditions stated here.
The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and any or all Agreements: "Client", "You" and "Your" refers to you, the person making the purchase and accepting the Company's terms and conditions. "The Company", "Ourselves", "We", "Our" and "Us", refers to our Company/Gillian Shields. "Party", "Parties", or "Us", refers to both the Client and ourselves, or either the Client or ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by meetings of a fixed duration, or any other means, for the express purpose of meeting the Client's needs in respect of provision of the Company's stated services/products, in accordance with and subject to, prevailing law of Canada. Any use of the above terminology or other words in the singular, plural, capitalisation and/or he/she or they, are taken as interchangeable and therefore as referring to same.
Contract and Intellectual Property
Unless otherwise stated, Gillian Shields and/or it's licensors own the intellectual property rights for all material distributed by Gillian Shields. This includes written material, text, design, photos, videos, audio, and interactive features, and are considered collective works under Canadian and other copyrighted law. All intellectual property rights are reserved. You may view, print and/or download pages, audio materials, or video for your own personal use subject to restrictions set in these terms and conditions.
By purchasing any audio or video content from us, related to the Coaching Services, we grant you a licence (which is limited, revocable, non-exclusive, non-transferable) to listen to, download or stream such content to your computer and/or other device(s) solely for your personal, non-commercial use. You agree to not otherwise copy, reproduce, distribute or use the content other than as set out in this contract. You must not sell, transfer, lease, modify, distribute or publicly perform the content in any manner and you must not exploit it commercially. You agree to not tamper with the content or create any derivative works therefrom.
Gillian Shields may terminate your license to use any purchased products if you breach this contract.
Product/Service Sales or Downloads
Any service, materials (written, audio, video, or otherwise) purchased or downloaded and provided by Gillian Shields for the purposes of delivering Coaching Services is non-refundable and non-exchangeable.
Payment
All goods and services sold under Coaching Services by Gillian Shields are charged in Canadian dollars.
You will provide payment prior to receiving any services, goods, materials, etc. from Gillian Shields. You agree to pay the amount as per the payment schedule indicated on your invoice. If payment fails, you will be notified via the email provided on your invoice. Payment will be re-attempted twice. If payment is still not made, services will be terminated and the remaining balance owed will be sent to collections.
Disclaimer
The content displayed/provided through Gillian Shield’s goods, services, audio or video content is for educational purposes only and is not deemed as professional advice as per that given by a professional (e.g., counsellor, psychologist, therapist, etc.). You are responsible for your progress and results from Coaching Services and it is your decision on how you incorporate the information and tools provided to you, into your life. The results experienced by each Client may vary.
Gillian Shields is not a therapist, psychotherapist, psychologist, psychiatrist or a member of any regulated health profession and will not provide any such services to you. Coaching Services is not a substitute for counselling, psychotherapy, mental health care, substance abuse treatment, or any other psychological, physical, or emotional treatment/therapy. The Services provided is developed strictly for educational and personal development purposes only.
Coaching cannot be provided to you if within the past 12 months, you have a mental health disorder (e.g., eating disorder, personality/mood disorder, substance abuse, or any other condition which would typically require professional mental health or medical treatment) and are not receiving professional treatment (treatment provided by an individual that is a member of a regulated health profession such as a doctor, therapist, counsellor).
Coach/Mentor-Client Relationship
Gillian Shields and You have a Coach-Client relationship. The Coach-Client relationship is built on mutual honesty, respect, and transparency and is used to move You (the client) forward. And as in any healthy relationship, both parties must be fully engaged and ready to do the work. By agreeing to private coaching and mentorship, you agree to be engaged and ready to do the work.
Gillian Shields believes in You and expects You to trust and be open to guidance to move You forward.
Coaching Schedule and Services/Products Provided
You agree to make best efforts to attend each coaching session.
You will receive services as per the schedule indicated on your invoice. If you wish to continue coaching services with Gillian Shields post service end-date, this may be discussed with Gillian Shields and a new invoice will be sent to you. Any service ‘top-ups’ and their price will be indicated in the new invoice.
If your coaching package includes support provided by Gillian Shields in between sessions: You may reach out to Gillian Shields via the Voxer App for support (e.g., ask for advice, support, ask questions, etc.), as needed throughout the duration of your mentorship package. Gillian Shields will make best efforts to respond to you within 24 hours or sooner of your inquiry.
*Virtually Unlimited Support: For packages that include ‘virtually unlimited support’, you may reach out to Gillian Shields at any time outside of scheduled live online calls via the Voxer app, and mentorship and support will be provided. Gillian Shields will respond within her ‘office hours’, which are Monday-Friday 9-5pm EST. Gillian Shields will response within 24 hours of the time your message has been left in Voxer during the days of her office hours (Monday-Friday).
Refunds or Exchanges
All coaching package purchases are non-refundable and non-exchangable.
Rescheduling & No Show Policy
To reschedule a live online session, you must do so 24 hours prior to session start time, otherwise the session may be foreited if Gillian Shields does not have any additional availability. Reschedule of a sheduled live online session is permitted once. To reschedule, simply send an email to gillian.s@gillianshields.ca or message her in Voxer. Gillian Shields will make best efforts to accommodate rescheduling, subject to her availability.
If you choose to not use all video sessions included in your coaching package, you will not be refunded for any unused sessions.
You are given a 15 minute grace period for each session. If you do not attend within 15 minutes of the session’s start time, it will be considered a No Show, and the session will be forfeited.
Confidentiality and Privacy
Gillian Shields respects Your privacy and insists that You respect Gillian Shield’s. Information, including any identifiable/contact information that the You share with the Gillian Shields as part of the Coaching Services or during the length of such services will be kept confidential by Gillian Shields.
Gillian Shields shall use best efforts to safeguard confidential information and protect it against disclosure, misuse, loss and theft. Gillian Shields may store the confidential/personal information shared by You on a password-protected drive, gillianshields.ca email, or associated Google Drive. Any stored information will be kept for up to 2-years post services completion, after which it will be deleted.
Gillian Shields agrees not to disclose any identifiable information pertaining to You (your name, location, social media handle) without Your written consent. However, Gillian Shields may share non-identifiable information associated with You (de-identified Voxer app text messages, questions asked, transformational experiences during private mentorship) for the purposes of inspiring and assisting her audience and community with transformation.
If you have purchased a membership where there will be other participants, you are asked to respect the privacy of those individuals and keep personal information confidential. Please note that due to the nature of a community or membership group, your confidentiality and privacy cannot be guaranteed. If you are disruptive, disrespectful or violate the group rules of the community membership, Gillian Shields has the right to remove you from the group and membership without refund or notice.
Note: The Mentor/Coach-Client relationship is not a relationship protected by legal confidentiality (like doctor-patient or attorney-client). As such, Gillian Shields could be required to divulge otherwise confidential information to authorities.
You agree to not reveal or share any information to a third party obtained in connection with the agreement or Coaching Services such as materials, methods, or any other types of communications related to the Coaching Services.
Severability
If any provision of this Agreement is held by to be invalid or unenforceable, the remaining provisions shall nevertheless continue in full force. The failure of either Party to exercise any right provided for herein will not be deemed a waiver of that right or any further rights hereunder.
Limitation of Liability
You understand Coaching Services is only an educational service being provided. You release Gillian Shields, as well as the venue where the Program is being held (if applicable) and any of its owners, executives, agents, or staff (hereinafter “Releases”) from any and all damages that may result from any claims arising from any agreements, all actions, causes of action, contracts, claims, suits, costs, demands and damages of whatever nature or kind in law or in equity arising from participation in the Program. You accept any and all risks, foreseeable or unforeseeable. You agree that Gillian Shields will not be held liable for any damages of any kind resulting or arising from including but not limited to; direct, indirect, incidental, special, negligent, consequential, or exemplary damages happening from the use or misuse of Gillian Shields’s services.
Termination
Gillian Shields may, at its sole discretion, terminate this Agreement, and limit, suspend, or terminate your participation in Coaching Services without refund if you become disruptive (e.g., disrespectful) to Gillian Shields or if you violate the terms of this agreement, as determined by Gillian Shields.
Entire Agreement
This agreement reflects a complete understanding of the Parties with respect to the subject matter. This Agreement supersedes all prior written and oral representations. The Agreement may not be amended, altered or supplemented.
Jurisdiction
This Agreement will be governed by and construed in accordance with the Laws of the Province of Ontario, and Gillian Shields and the Client hereby attorn to the jurisdiction of the Courts of the Province of Ontario.
Legal and Binding Agreement
This Agreement shall be binding between Gillian and You.
By purchasing any Coaching Services, you agree to the terms and conditions set forth above.
